General terms of service
Key definitions
"Client": an individual or legal entity that engages Aiden Startup by signing up at aidenstartup.com.
"Aiden": Aiden Technologies Ltd, an English company with company number 14561220 and registered office at Kemp House, 128 City Road, London EC1V 2NX.
"Subscription": the monthly plan taken out by the client. It covers the services described above in the "included" section of the plan chosen.
"Official fee": amount paid to a government body (Companies House, Delaware Division of Corporations, IRS, HMRC, etc.) for mandatory filings or registrations. It is not an Aiden fee. Aiden calculates, files and notifies the client about them, but payment is made by the client directly to the relevant authority. Currently no plan includes or advances official fees, and their amounts may change (e.g. the digital Confirmation Statement fee is now £50/year).
"Aiden Tax Filing": a separate service for preparing and filing annual IRS returns (Form 5472, 1065, 1120) for Delaware companies. It is purchased separately from the monthly subscription due to its annual, specialised nature and the added legal liability involved (signed under penalty of perjury).
Onboarding process
Once the client signs up, they get access to the dashboard and the identification process (KYC) begins. Company formation starts once all required documentation has been received and verified. The timeframes stated for each plan (for example, 5-10 days for Delaware or 24-72h for the UK) run from the complete receipt of the documentation, not from the sign-up date, and depend on the timelines of the relevant authorities and institutions involved.
Service level agreements (SLA)
The response times stated for each plan (for example, <24h on Standard, <2h on PRO) refer to business hours (Monday to Friday, excluding public holidays) and to the first response, not full resolution, which will depend on the complexity of each case. SLAs do not apply to requests that require input from third parties (government bodies, banks).
Responsibility for deadlines and notices
Aiden monitors the corporate and tax deadlines under the client's plan and notifies the client in advance via the dashboard and by email. It is the client's responsibility to: keep a valid email address, review notifications, pay any official fees due on time, and sign up for complementary services (such as Aiden Tax Filing) when needed. Aiden is not liable for penalties arising from the client ignoring notices or failing to pay a fee on time.
Plan changes
The client can upgrade from Standard to PRO at any time; new features are activated immediately and billing is adjusted to the new amount in the next cycle. Downgrading from PRO to Standard takes effect at the end of the current billing period and means losing PRO-exclusive features (an EIN already obtained is kept, but multi-user access, legal advice and other extras are no longer available).
Term and commitment
Standard and PRO plans have no minimum commitment. The client can cancel at any time from the dashboard or by requesting it from their advisor. Cancellation takes effect at the end of the current billing period (month or year, depending on the frequency chosen). No pro-rata refunds are given, except in the exceptional cases provided for under applicable consumer law. Set-up fees and work already carried out (such as a company formation already filed) are non-refundable.
What happens after cancellation
Once cancelled, the service remains active until the end of the paid period. From that date, the client takes on the ongoing corporate maintenance of their company directly (registered office, registered agent, annual filings) or must arrange it with another provider. Aiden will retain the client's documentation for the legally required periods and make it available in line with the Privacy Policy.
Changes to the service
Aiden reserves the right to update the features included in each plan, as well as its pricing, giving the client at least 30 days' notice. Changes that improve or expand the service take effect automatically. Changes that reduce the scope of the service or increase the price entitle the client to cancel without penalty within 30 days of being notified.
Data protection
The processing of the client's personal data is governed by the Privacy Policy. The client may exercise their rights of access, rectification, erasure and other GDPR rights by writing to support@aiden.es.
Limitation of liability
Aiden acts as an administrative manager and provider of professional services relating to corporate and accounting matters. Aiden is not responsible for the client's investment decisions, operating losses, or penalties arising from events not attributable to Aiden (e.g. the client ignoring deadline alerts and failing to pay an official fee on time). Aiden's maximum liability to the client is limited to the amount paid by the client in the 12 months prior to the event giving rise to the claim, except in cases of wilful misconduct or gross negligence.
Relationship with the general Terms and Conditions
This document sets out the scope of each plan and complements the general Terms and Conditions. In the event of any discrepancy regarding the scope of a plan, this document shall prevail; for all other contractual terms, the general Terms and Conditions shall prevail.
Dispute resolution
These terms are governed by the law of England and Wales. Disputes will preferably be resolved through direct negotiation. Failing that, they will be submitted to the courts of London, except where consumer protection law applicable to the client grants additional rights (for example, jurisdiction of the consumer's place of residence within the European Union).
